Acceptance of these terms

These Terms of Service ("Terms") govern your use of tmoriginalsconsulting.com and related public website features provided by TM Originals Consulting Inc., operating as TM Originals Consulting™ ("TMOC," "we," "us," or "our"). By accessing or using the website, you agree to these Terms. If you do not agree, do not use the website.

Website purpose

The website provides general information about TMOC, its strategic consulting, Tax Strategy Framework System, professional and Licensee opportunities, events, and related services. Website content is educational and informational. It is not individualized tax, legal, accounting, investment, or financial advice and should not be relied upon as a substitute for advice from appropriately licensed professionals who understand your circumstances.

No professional or client relationship

Visiting the website, downloading material, submitting an inquiry, or exchanging messages does not by itself create a client, fiduciary, advisor, Licensee, or other professional relationship. A relationship begins only after all required reviews are complete and the parties sign the applicable written agreement.

Separate engagement terms

Consulting engagements, licenses, Strategic Implementation Material, events, digital products, fees, payment obligations, cancellations, refunds, confidentiality, implementation responsibilities, and other paid services may be governed by a separate agreement, order form, invoice, or posted checkout terms. If those terms conflict with these Terms, the transaction-specific terms control for that engagement.

No guarantee of outcomes

Examples, projections, case studies, or descriptions of potential Tax Reduction or Strategic Tax Positioning are illustrative and do not guarantee any tax, financial, revenue, compliance, or business result. Outcomes depend on facts, law, implementation, professional review, and other circumstances beyond TMOC's control. Users remain responsible for decisions, filings, records, and implementation with their licensed professionals.

Permitted use

You may use the website only for lawful personal or legitimate business purposes. You agree not to:

• Interfere with website operation, security, or access controls.
• Attempt to gain unauthorized access to systems, accounts, documents, or data.
• Scrape, copy, reverse engineer, reproduce, teach, distribute, or commercialize proprietary content or Frameworks without written permission.
• Submit false, misleading, harmful, infringing, or unlawful content.
• Impersonate another person or misrepresent your credentials or relationship with TMOC.
• Use the website or communication channels to harass, threaten, defraud, or harm others.

Intellectual property

The website and its text, graphics, diagrams, models, Frameworks, methodologies, trademarks, trade names, videos, and other content are owned by TM Originals LLC, TMOC, or their licensors and are protected by applicable intellectual-property laws. TM Originals™, TM Originals Consulting™, Tax Code Archaeologist™, Tax Code Excavation™, and related marks and proprietary methodologies may not be used without written authorization. Viewing the website does not grant any license except a limited, revocable right to view public content for lawful, noncommercial evaluation.

SMS terms

If you expressly consent to receive informational or non-marketing text messages from TM Originals Consulting Inc., you agree to receive messages about requested inquiries, consultation or presentation scheduling, appointment reminders, requested follow-up, application or engagement status updates, document or meeting reminders that do not contain sensitive tax data, and customer support.

• Consent is optional and is not a condition of purchase.
• Message frequency varies based on your inquiry, schedule, application, or engagement activity.
• Message and data rates may apply.
• Reply STOP to the number that sent the message to opt out. We may send one final confirmation of your opt-out.
• Reply HELP for assistance, or contact support@tmoriginalsconsulting.com or (248) 595-8597.
• Carriers are not liable for delayed or undelivered messages.
• After opting out, you may re-enroll only through a new opt-in process or by replying START when supported.

The current SMS program is informational and non-marketing. It does not authorize cold prospecting or promotional messages. If a different message program is offered in the future, it will require a separate consent and disclosures appropriate to that program.

User submissions

When you submit an inquiry, application, feedback, or other content, you represent that you have the right to provide it and that it is accurate and lawful. Do not submit sensitive tax or financial records through an unsecured form or text message.

Third-party services and links

The website may link to scheduling, payment, communication, social media, or professional services operated by others. We do not control those services and are not responsible for their availability, content, security, or terms. Your use of a third-party service is governed by that provider's terms and policies.

Disclaimers

To the fullest extent permitted by law, the website is provided on an "as is" and "as available" basis. We do not warrant that the website will be uninterrupted, error-free, secure, or free of harmful components, or that public information will remain current in every respect. Rights that cannot lawfully be disclaimed remain unaffected.

Limitation of liability

To the fullest extent permitted by law, TMOC, TM Originals LLC, and their owners, personnel, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from website use or reliance on public information. Liability relating to a paid engagement is governed by the applicable written agreement. Nothing in these Terms limits liability that cannot legally be limited.

Indemnification

You agree to indemnify and hold harmless TMOC, TM Originals LLC, and their owners and personnel from claims, damages, liabilities, and reasonable costs arising from your unlawful misuse of the website, violation of these Terms, or infringement of another person's rights.

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where applicable law requires otherwise. A separate engagement agreement may specify a different governing law or dispute process for that engagement.

Changes and general provisions

We may modify the website or these Terms, or suspend access to protect security, comply with law, or address misuse. Updated Terms become effective when posted with a revised effective date. Provisions that by their nature should survive termination will survive. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any applicable engagement terms, constitute the applicable agreement regarding the website.
